Terms of Service

1. Definitions

"Service": the RAG Widget, AI Agent and related features offered via semagent.ai. "Tenant": your isolated workspace. "We": CS Digital Wonders LLC.

2. Account

Provide accurate information at signup. You are responsible for the security of your account and team access (passwords, 2FA). Report unauthorized use immediately.

3. Scope of service

The Service provides a knowledge-base-grounded widget and an approval-layered AI agent. AI output is probabilistic: despite safeguards such as strict-KB grounding and the policy engine, we do not guarantee correctness in every case — verifying output for critical decisions is your responsibility. Configuring approval thresholds and allow-lists for agent actions is under your control.

4. Subscription, credits & payment

• Paid plans (Starter, Pro) include a credit allowance per billing period; payments are processed via Stripe in US dollars (USD). Current amounts are published on the Pricing page.
• Usage is metered in credits. Your plan credits renew each period; unused credits do not roll over.
• Plan limits are hard caps: when your credits are exhausted the service pauses, and no overage is charged automatically without your explicit consent.
• You may purchase additional credit packs (top-ups); add-on credits are used under the applicable plan terms.
• Purchased or added credits are non-cash-convertible and non-refundable; mandatory consumer rights remain unaffected (see section 8).
• On cancellation the service runs to period end; you may cancel at any time. After cancellation your data is retained for a reasonable period and can be exported.
• Changes to prices, credit allowances or credit pricing take effect at the end of the current period with prior notice.

5. Acceptable use

No unlawful content, infringement of third-party rights, unauthorized access, spam or malware distribution. Only add content to your knowledge base that you are entitled to use. We may suspend accounts on violation. Detailed rules: Acceptable Use Policy.

6. Intellectual property & your data

The platform and software are ours. Your knowledge base, conversations and generated content are yours — we process them only to provide the service and never train models on them. You may export your data when closing your account.

7. Limitation of liability

The Service is provided "as is". We are not liable for indirect, incidental or consequential damages; our aggregate liability is capped at the fees you paid in the 12 months preceding the claim. Mandatory consumer rights remain unaffected.

8. Governing law

These terms are governed by the laws of the Republic of Türkiye; Istanbul (Central) courts have jurisdiction, without prejudice to mandatory consumer provisions.
